I have experienced the same issue whilst testing my extension with 4.0b4 - my status bar panel element flatly refuses to be anywhere other than on a second status bar below the main one.
This seems to be happening only when i have addons enabled. Doesn't happen in safe mode.

Same here. The top one looks normal. The bottom one is blank grey bar with the resize handle on the left. The top one has that on the right as expected
Forgot to add. I am on XP SP3.
Add-ons may not be compatible with the new titlebar. Try with all add-ons off, if everything is ok, enable add-ons one at a time and see which causes the issue. Then please report the problem to the add-on author.
Ok, right it was the Download Statusbar for me. Fixed in version 0.9.7.1
Seems to be add-on specific. Have found that moving my <statusbar> to outside the <window id="main-window"> element in the overlay solves the problem.
I can't swear on it, but I am almost sure that kept happening to me on all the 3 computers, and 1 of them had definitely IE tab disabled. I did not get what you say about the single tab. BTW, now as that add-on is uninstalled I still get some strange things. The title bar keeps the logo from the site I had closed.

This bug was reported using a pre-release version of Firefox 4. Now that Firefox 4.0.1 final has been released, can you please update and retest your bug? A fresh profile would be a good starting place to test, http://support.mozilla.com/kb/Managing+profiles. If you continue to see the issue, can you please update this bug with your results?
