Considering the fact that the user can access the menu through the Firefox button when the Menu bar is disabled, isn't it logical that he should also have access to the menu items in panorama when menu bar is enabled?

FWIW, since the menu bar won't be on by default (and Fx appears to be de-emphasizing it), I am not sure we'll want to show it in Panorama

While logical, I don't know that there's much benefit to be gained by doing this, at least for the fx4 time frame.
In fact, this is undesirable, as most menu commands are useless while panorama is open. I don't think the Firefox button should be available there either.

Incorrect. New Tab, Start Private Browsing, Exit, Fullscreen, Sync Now (maybe). These actions are all performable in the UI and therefore should be in the menu as well.

The button should also be there to minimize confusion i.e. that you haven't opened a new window/program so people don't close Panorama and lose their tabs.

This doesn't contradict my statement.

That's a stretch -- because some commands might work, the whole thing should be there?
We do show the entire Firefox button while in tab view.  I don't think we want to do anything for Firefox 4.  The menu bar turned on for Vista/7 would visually look correct, but we aren't going to get XP right until we land bug 625307 and make tab view have the title bar color throughout the entire background.  Only then would be able to satisfy this objective:

Panorama has been removed from Firefox 45, currently in Beta and scheduled for release on March 7th. As such, I'm closing all existing Panorama bugs.

If you are still using Panorama, you will see a deprecation message in Firefox 44, and when 45 is released your tab group data will be migrated to bookmarks, with a folder for each group. There are also a few addons offering similar functionality.

We're removing Panorama because it has extremely low usage (about 0.01% of users), and has a large number of bugs and usability issues. The cost of fixing all those issues is far too high to justify, and so we'll instead be focusing our time and energy on improving other parts of Firefox.
