Details

User Agent: Mozilla/5.0 (Windows NT 6.1; WOW64; rv:20.0) Gecko/20100101 Firefox/20.0
Build ID: 20130326150557

Steps to reproduce:

Set Firefox to warn when closing multiple tabs
Load several tabs in firefox
Open New Private Window
Close Private Window

Actual results:

Firefox asks to save tabs for next session/cancel/quit
Firefox closes private window, but leaves main window open

Expected results:

Private window should close with no dialog box as the main Firefox window is still open
Did you try to reproduce the issue with a fresh profile?

I just did on your suggestion. The bug does not occur under default settings, but if you set the preference browser.showQuitWarning to true then the bug will occur on a fresh profile.
Flags: needinfo?(quidam)
STR:

1) Create a new profile
2) Set about:config > browser.showQuitWarning = true
3) Open several tabs
4) Open a New Private Window
5) Close the Private Window

Anyway, I'm not sure if it's a valid bug, because the private window inherits the settings from its parent window. Of course, this pref doesn't have any sense for a private window.
