STR:
- Set Flash to "ask to activate" or "never activate"
- Open URL in a browser window wider than 1040px; the place holder is shown (top in screenshot).

- Now decrease the horizontal size of the window until the scrollbar on the right is hiding the "x"-button of the overlay and reload the page

Expected results:
Overlay to activate is shown.

Actual results:
The overlay is empty, only the grey area is shown (bottom in screenshot).

This is not reproducible with Nightly 2013-12-17 ( http://hg.mozilla.org/mozilla-central/rev/d58545aaeab9 , build 20131217084757)
This is an intentional change from bug 853973. Why is the scrollbar covering the plugin instead of next to it?

I resized the window before loading the page to trigger the bug with Firefox partially hiding the plugin instead of another element of the website, as mentioned in bug 853973.

Because of this Firefox is not showing the clickable placeholder with the close-placeholder-button, which, together with bug 921730, now breaks the menu of the website in two different ways if Flash is not installed and enabled permanently.
That doesn't really answer the question of why the scrollbar is covering the plugin, though. In any case, I don't think this is something we intend to fix.
